1. Introduction and Acceptance of Terms
Welcome to Walima. These Terms and Conditions (“Terms,” “Agreement”) constitute a legally binding agreement between you (“User,” “Member,” “you,” or “your”) and Walima (“Company,” “we,” “our,” or “us”), governing your access to and use of the Walima website at walima.app, our mobile applications available on the Google Play Store and Apple App Store, and all related services (collectively, the “Platform”).
Walima is an AI-powered matrimonial platform designed to help Muslim individuals and families find verified, compatible life partners through intelligent matchmaking technology rooted in Islamic values. The Platform is strictly a matchmaking and matrimonial service — it is not a casual dating application.
By accessing, browsing, registering on, or using the Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy (available at walima.app/privacy), and any other policies referenced herein. If you do not agree to these Terms, you must not access or use the Platform.
We reserve the right to amend or update these Terms at any time. Material changes will be communicated via in-app notification and/or email at least 30 days before taking effect. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms.
2. Definitions
For the purposes of this Agreement, the following terms shall have the meanings set out below:
“Platform” means the Walima website (walima.app), mobile applications (iOS and Android), Progressive Web App (PWA), and all associated services, features, and content.
“User” or “Member” means any natural person who registers an account on the Platform for the purpose of seeking a matrimonial alliance, whether as a free or premium member.
“Guardian” means a parent, family member, or authorized representative who creates or manages a profile on behalf of another person with their consent.
“Profile” means the personal matrimonial profile created by a User or Guardian on the Platform, including all personal information, photos, preferences, and verification documents.
“Premium Subscription” means any paid membership plan (Harmony, Promise, Soulmate, Forever, or Destiny) that provides enhanced features and capabilities.
“Match” means a mutual connection created when two Users accept each other’s interest, unlocking direct communication.
“Content” means any text, images, photos, messages, bio information, success stories, or other materials submitted, posted, or transmitted through the Platform.
“AI Features” means the artificial intelligence and machine learning powered functionalities of the Platform, including the matching algorithm, chatbot, bio generator, compatibility summaries, icebreaker suggestions, smart replies, photo moderation, and fake profile detection.
“Services” means the matchmaking, communication, verification, AI-assisted, and subscription services provided through the Platform.
3. Eligibility
To register as a Member and use the Platform, you must meet all of the following eligibility requirements:
3.1 Age Requirement
You must be at least 18 years of age. The Platform is intended exclusively for adults who are legally eligible for marriage. In jurisdictions where the legal marriageable age is higher than 18, the applicable local law shall prevail. We reserve the right to request age verification at any time and to terminate accounts of Users found to be underage.
3.2 Legal Capacity
You must be a natural person (not a corporation, partnership, or other legal entity) with the full legal capacity to enter into a binding contract under the laws applicable to you.
3.3 Matrimonial Intent
You must be registering with the bona fide intention of seeking a lawful matrimonial alliance. The Platform is strictly for matrimonial purposes and shall not be used for casual dating, companionship outside of marriage, or any non-matrimonial purpose.
3.4 Legal Eligibility to Marry
You must not be subject to any legal prohibition, court order, or injunction that restricts or prevents you from entering into marriage. If you are previously married, you must be legally divorced or widowed and eligible to remarry under applicable personal law.
3.5 Single Profile
Each individual may maintain only one profile on the Platform. Creating or maintaining multiple profiles for the same person is strictly prohibited. Walima reserves the right to identify, merge, or remove duplicate profiles without notice or refund.
3.6 Guardian Profiles
A parent, guardian, or authorized family member may create and manage a profile on behalf of another person (e.g., son, daughter, brother, sister, or relative) for legitimate matrimonial purposes, provided they have obtained the explicit consent of the person on whose behalf the profile is created. The Guardian represents and warrants that such consent has been obtained and shall produce evidence of the same upon request.
4. Account Registration and Security
4.1 Registration Process
To create an account, you must provide accurate and complete information including your full name, date of birth, email address, phone number, and password. You must complete phone OTP verification and email verification as part of the registration process. You may also register using Google Sign-In or Apple Sign-In, subject to the terms of those third-party services.
4.2 Profile Completion
After registration, you are required to complete your profile through our 8-step Profile Completion Wizard, which includes personal information, religious details, education and career, family information, partner preferences, photo upload, bio/about me, and identity verification. Incomplete profiles may have limited visibility in search results and match recommendations.
4.3 Accuracy of Information
You represent and warrant that all information you provide on the Platform is true, accurate, current, and complete. You agree to promptly update your profile if any information changes. Providing false, misleading, or fraudulent information is a serious violation of these Terms and may result in immediate account termination, loss of any premium subscription without refund, and potential legal action.
4.4 Account Security
You are solely responsible for maintaining the confidentiality of your login credentials (email, phone number, and password). All activities conducted under your account are deemed to be performed by you. You must immediately notify us at support@walima.app of any unauthorized access to or use of your account. We shall not be liable for any loss or damage arising from your failure to maintain the security of your account credentials.
4.5 Identity Verification
To enhance trust and safety on the Platform, we offer and may require identity verification through NID (National Identity Card) or passport document upload and real-time selfie verification. Verification is reviewed by authorized admin personnel. Successfully verified profiles receive a verified badge. Walima reserves the right to make verification mandatory for accessing certain features. Verification does not constitute an endorsement or guarantee of the accuracy of a User’s profile information.
5. Permitted and Prohibited Uses
5.1 Permitted Uses
The Platform is licensed to you for personal, non-commercial use solely for the purpose of seeking a matrimonial alliance. You may:
Create and manage a personal matrimonial profile
Search for and browse profiles of other Members
Send and receive interests and communicate with matched Users
Use AI-powered features including match suggestions, bio generator, and compatibility summaries
Purchase and use premium subscription features
Use the AI customer support chatbot for assistance
Share your success story with your consent for publication
5.2 Prohibited Conduct
You agree that you will NOT:
Use the Platform for casual dating, hookups, or any purpose other than seeking a legitimate matrimonial alliance
Provide false, misleading, or fraudulent information in your profile or communications
Impersonate any person or entity, or falsely represent your affiliation with any person or entity
Create multiple accounts for the same individual or create accounts for fictitious persons
Upload obscene, pornographic, offensive, defamatory, or otherwise unlawful content
Harass, stalk, threaten, abuse, or intimidate any other User, whether on or off the Platform
Solicit money, gifts, or financial assistance from other Users
Use the Platform for advertising, commercial solicitation, promotion of goods or services, or recruitment
Share contact information of other Users obtained through the Platform with third parties without consent
Attempt to extract, scrape, harvest, or collect data from the Platform using bots, spiders, crawlers, or any automated means
Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Platform or any of its AI algorithms
Circumvent, disable, or interfere with any security, rate-limiting, or access-control features of the Platform
5.3 Content Standards
All Content you submit to the Platform must comply with the following standards:
Be truthful, accurate, and not misleading
Not infringe any third party’s intellectual property, privacy, or other rights
Not contain any viruses, malware, or harmful code
Not promote hatred, discrimination, violence, or illegal activity
Be respectful of Islamic values, cultural sensitivities, and the dignity of other Users
Photos must be genuine and recent images of the person whose profile they appear on
Walima reserves the absolute right to review, moderate, edit, or remove any Content that violates these standards, without prior notice and without obligation to provide a refund.
6. AI Features and Automated Services
6.1 AI Matching Algorithm
Walima employs a multi-layered AI matching algorithm that uses hard preference filters, weighted compatibility scoring, and machine learning behavioral learning to suggest compatible profiles. Match suggestions and compatibility scores are algorithmically generated recommendations based on profile data and behavioral patterns. They are not guarantees of compatibility, success, or suitability for marriage. You are solely responsible for evaluating and verifying the suitability of any match and making your own independent decisions.
6.2 AI-Generated Content
The Platform offers AI-generated features including bio generation, icebreaker message suggestions, smart reply suggestions, and compatibility summaries. All AI-generated content is provided as suggestions only. You are responsible for reviewing, editing, and approving any AI-generated content before it is posted or sent. You acknowledge that AI-generated content may not always be accurate, appropriate, or reflective of your intentions.
6.3 AI Moderation
We use AI-powered systems for photo moderation, fake profile detection, and chat moderation. These systems may automatically flag content for human review. All automated decisions that may significantly affect your account (such as profile suspension or content removal) are subject to human review before final action is taken. You have the right to request a review of any automated action by contacting support@walima.app.
6.4 AI Chatbot
Our 24/7 AI customer support chatbot provides assistance in Bangla and English. While the chatbot is designed to provide accurate information based on our knowledge base, it may not always provide perfect responses. For complex issues, the chatbot will escalate to human support agents. Information provided by the chatbot does not constitute legal, financial, or professional advice.
6.5 Limitations of AI
You acknowledge and agree that:
AI features are tools to assist your matchmaking experience and are not substitutes for personal judgment
AI-generated match scores, compatibility percentages, and suggestions are approximate and based on available data
AI systems may exhibit biases or limitations inherent in their training data, which we actively monitor and work to mitigate through diversity injection and regular bias audits
We do not guarantee the accuracy, reliability, or completeness of any AI-generated output
7. Premium Subscriptions and Payments
7.1 Free and Premium Tiers
The Platform offers both free and premium membership tiers. Free members have access to basic features with limitations on daily matches, interests, and messaging. Premium subscriptions unlock enhanced features including increased daily match limits, expanded messaging capabilities, profile boost, cold messaging, contact exchange, advanced privacy controls, and priority customer support.
7.2 Premium Plans
We offer five premium subscription tiers, each with different durations, features, and pricing:
Harmony (3 Months): Up to 15 daily matches, up to 20 messages
Promise (3 Months): Up to 25 daily matches, up to 40 messages
Soulmate (6 Months): Up to 40 daily matches, up to 80 messages
Forever (6 Months): Up to 60 daily matches, up to 150 messages
Destiny (12 Months): Up to 100 daily matches, unlimited messages
Pricing, discounts, and feature allocations are subject to change. Current pricing is displayed on the Platform’s pricing page at the time of purchase. Promotional pricing and discount offers may be available for limited periods.
7.3 Payment Methods
We accept payments through the following gateways:
Bangladesh Users: SSLCommerz (credit/debit cards, mobile banking, internet banking), bKash Direct PGW (mobile wallet), and Nagad Direct PGW (mobile wallet).
International Users: Stripe (Visa, Mastercard, American Express, Apple Pay, Google Pay) with multi-currency support (USD, GBP, CAD, AED, QAR, and others).
All payments are processed securely through the respective payment gateways. We do not directly store your full card numbers, bank account details, or mobile wallet PINs. Payment gateway selection is determined automatically based on your country of access.
7.4 Subscription Activation
Your premium subscription is activated immediately upon successful payment verification through our webhook system. Upon activation, you will receive a confirmation via email and SMS containing your plan name, amount paid, transaction ID, and subscription expiry date. Your dashboard will immediately reflect your premium status and unlocked features.
7.5 Subscription Duration and Expiry
Premium subscriptions are for the fixed duration of the selected plan. Upon expiry, your account will revert to the free tier and premium features will be deactivated. We will send renewal reminders before your subscription expires. Subscriptions do not auto-renew unless explicitly enabled by you.
7.6 Pricing and Taxes
All prices displayed on the Platform are inclusive of applicable taxes unless stated otherwise. We reserve the right to change pricing at any time, but changes will not affect existing active subscriptions. Promotional discounts are valid only for the specified promotional period and cannot be applied retroactively.
7.7 Coupon Codes and Promotions
From time to time, we may offer promotional coupon codes that provide discounts on premium subscriptions. Each coupon code has specific terms including validity period, applicable plans, and maximum usage limits. Coupon codes are non-transferable, cannot be combined with other offers, and cannot be redeemed for cash.
8. Refund Policy
8.1 General Refund Policy
All premium subscription purchases are generally non-refundable once activated, except as provided under our 21-Day Money-Back Guarantee (Section 8.5). By purchasing a subscription, you acknowledge that you are receiving immediate access to premium features and agree to waive any right of withdrawal upon activation, subject to the guarantee terms.
8.2 Exceptions
Refunds may be considered at our sole discretion in the following exceptional circumstances:
Payment was charged but premium features were not activated due to a technical error on our part
Duplicate payment was processed for the same subscription
The Platform experiences extended downtime (more than 72 consecutive hours) during your subscription period
As required by applicable consumer protection laws in your jurisdiction
8.3 Refund Process
To request a refund, contact us at support@walima.app with your transaction ID, registered email, and reason for the refund request. Approved refunds will be processed through the original payment method within 7–14 business days. Refund amounts will be calculated on a pro-rata basis for the unused portion of the subscription, minus any applicable gateway processing fees.
8.4 Non-Refundable Scenarios
Refunds will NOT be provided in the following situations:
You voluntarily deactivate or delete your account before the subscription expires
Your account is terminated due to a violation of these Terms
You are dissatisfied with the quality or quantity of matches received (subject to the 21-Day Money-Back Guarantee in Section 8.5)
You successfully find a partner and no longer need the service
You did not use the premium features during the subscription period
8.5 21-Day Money-Back Guarantee
We stand behind our matchmaking technology. If you purchase any Premium Subscription and do not receive at least one (1) match within the first 21 consecutive days from the date of subscription activation, you are entitled to a full refund of the subscription amount paid. This is our 21-Day Money-Back Guarantee.
Eligibility Conditions:
To qualify for the 21-Day Money-Back Guarantee, all of the following conditions must be met:
You must have a complete profile (100% profile completion), including at least one approved profile photo, completed personal information, religious details, education and career, family information, partner preferences, and bio/about me section.
Your profile must have been actively visible (not deactivated or hidden) for the entire 21-day guarantee period.
You must have logged in to the Platform on at least 15 out of the 21 days during the guarantee period.
Your partner preferences must not be set so narrowly that they exclude the vast majority of available profiles. Walima reserves the right to determine, at its reasonable discretion, whether preferences are unreasonably restrictive (for example, specifying a single city with very few registered users combined with highly specific age, education, and profession requirements that collectively reduce the eligible pool to near zero).
You must not have violated any provision of these Terms during the guarantee period. Accounts that have been suspended, flagged for misconduct, or found to have submitted false profile information are not eligible.
You must not have declined or ignored all match suggestions and interests received during the 21-day period. If the Platform delivered match suggestions or interests to you but you declined or did not respond to all of them, the guarantee does not apply.
Definition of “Match” for Guarantee Purposes:
For the purposes of this guarantee, a “match” is defined as a mutual connection where another User has accepted your interest OR you have received at least one interest from another User during the 21-day period. The match does not need to result in a conversation, meeting, or marriage proposal. The receipt of at least one mutual interest acceptance or incoming interest constitutes a valid match for guarantee eligibility purposes.
How to Claim:
Submit your refund request within 7 days after the 21-day guarantee period expires (i.e., between Day 22 and Day 28 from subscription activation). Requests submitted after Day 28 will not be eligible.
Send your claim to support@walima.app with the subject line “21-Day Money-Back Guarantee Claim” including your registered email, phone number, transaction ID, and subscription plan name.
Our team will verify the eligibility conditions within 5 business days by reviewing your account activity, profile completeness, login history, and match/interest records during the 21-day period.
If approved, the full subscription amount will be refunded to the original payment method (SSLCommerz, bKash, Nagad, or Stripe) within 7–14 business days. Gateway processing fees, if any, may be deducted from the refund amount.
Additional Terms:
The 21-Day Money-Back Guarantee can be claimed only once per User. If you have previously received a refund under this guarantee and purchase a new subscription, the guarantee does not apply to subsequent purchases.
Upon approval of the refund, your Premium Subscription will be immediately downgraded to the free tier and all premium features will be deactivated.
This guarantee applies to all five Premium Subscription tiers (Harmony, Promise, Soulmate, Forever, and Destiny).
Walima reserves the right to modify, suspend, or discontinue the 21-Day Money-Back Guarantee at any time with 30 days’ prior notice. Changes will not affect guarantee claims for subscriptions purchased before the modification takes effect.
Fraudulent or abusive guarantee claims (including intentionally not engaging with the Platform to force eligibility) will be investigated and may result in claim denial and account termination.
This guarantee demonstrates our confidence in Walima’s AI matching technology and our commitment to delivering genuine value to our premium members. We believe every premium member deserves meaningful connections, and we back that belief with this guarantee.
9. Communication and Chat
9.1 Chat System
Chat between Users is unlocked only after mutual interest acceptance (a Match). Messages are delivered via our real-time WebSocket-based messaging system with delivery status indicators (sent, delivered, read). Premium users may access additional features including cold messaging (messaging without mutual interest), image sharing in chat, and contact exchange.
9.2 Chat Conduct
All chat communications must comply with the content standards in Section 5.3. Additionally:
Anti-spam measures limit messages to a maximum of 20 per minute per user
Sharing explicit, sexual, or inappropriate content in chat is strictly prohibited
Soliciting money, gifts, or financial information through chat is prohibited
Sharing external links to competing platforms or inappropriate websites is prohibited
Chat messages may be subject to AI-powered moderation that flags inappropriate content for human review
9.3 Blocking and Reporting
You may block any User directly from their profile or within a chat conversation. Blocking a User will hide your profile from them and prevent all further communication. You may report any User for inappropriate behavior, harassment, fraud, or violation of these Terms. All reports are reviewed by our moderation team and appropriate action will be taken, including potential account suspension or permanent ban.
9.4 Communication from Walima
By registering on the Platform, you consent to receive communications from Walima via push notifications, email, and SMS, including service updates, interest and match notifications, payment confirmations, security alerts, and promotional offers (with opt-in consent). You may manage your notification preferences at any time through Settings > Notifications within the Platform.
10. Intellectual Property Rights
10.1 Walima’s Intellectual Property
The Platform, including its design, layout, code, AI algorithms, matching technology, logos, trademarks, graphics, text, and all other proprietary content, is the exclusive intellectual property of Walima. All rights not expressly granted in these Terms are reserved. You are granted a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Platform solely for its intended matrimonial purpose.
10.2 User Content License
By submitting Content to the Platform (including profile information, photos, bio text, and messages), you grant Walima a non-exclusive, worldwide, royalty-free license to use, store, host, reproduce, display, and distribute such Content solely for the purpose of operating and providing the Services. This license terminates when you delete your Content or account, except for Content shared with other Users (which may persist in their chat history) and anonymized aggregate data.
10.3 Success Stories
If you submit a success story, you grant Walima a non-exclusive, worldwide, royalty-free, perpetual license to use, reproduce, publish, and display your success story (including any photos you provide) on the Platform and in marketing materials, subject to your initial consent. You may request removal of your success story at any time by contacting support@walima.app.
10.4 Restrictions
You may not copy, reproduce, modify, distribute, publicly display, reverse-engineer, or create derivative works from any part of the Platform, its Content, or its underlying technology without our prior written consent. Any unauthorized use may result in termination of your account and legal action.
11. Privacy and Data Protection
Your use of the Platform is subject to our Privacy Policy, available at walima.app/privacy, which is incorporated into these Terms by reference. Our Privacy Policy explains how we collect, use, share, and protect your personal information, including sensitive personal data such as religious beliefs, identity documents, and financial information.
By using the Platform, you consent to the collection and processing of your data as described in the Privacy Policy and in compliance with the Bangladesh Personal Data Protection Ordinance (PDPO) 2025, the EU General Data Protection Regulation (GDPR), the California Consumer Privacy Act (CCPA/CPRA), and other applicable data protection laws.
12. Photo Privacy and Content Protection
Walima provides photo privacy controls allowing you to set your photos as visible to all users, visible to matches only, or blurred until individually approved. These settings are available during profile creation and can be changed at any time through your profile settings.
The Platform implements screenshot blocking and screen recording prevention measures to protect the privacy of User photos. Attempting to circumvent these protections is a violation of these Terms.
You are strictly prohibited from downloading, saving, screenshotting, screen recording, copying, or redistributing any photos or media of other Users obtained through the Platform. Any misuse of another User’s photos may result in immediate account termination and legal action.
13. Verification, Trust, and Safety
13.1 Verification Process
Walima offers identity verification through NID/passport document upload and selfie comparison. Verification is conducted by authorized admin personnel who compare the submitted documents with the selfie and profile information. Verified profiles display a verified badge.
13.2 Limitations of Verification
While verification significantly enhances trust on the Platform, it is important to understand that:
Verification confirms identity only — it does not verify the accuracy of profile information such as education, profession, income, or family details
Verification does not constitute a background check, criminal record check, or character reference
Walima does not guarantee the honesty, behavior, or intentions of any verified or unverified User
You are strongly advised to independently verify all information provided by other Users before making any matrimonial decision
13.3 Safety Guidelines
We strongly recommend that you:
Never share financial information, bank details, or send money to anyone you meet on the Platform
Meet in public places when arranging first meetings with potential matches
Involve trusted family members or friends in the matchmaking process
Report any suspicious behavior, fraud, or harassment immediately through the Platform’s report feature
Do not share your login credentials or personal contact details with unverified persons
14. Account Deactivation and Deletion
14.1 Deactivation
You may temporarily deactivate your profile at any time through Settings > Account > Deactivate. Deactivation hides your profile from other Users and pauses all match activity. Your data is retained, and you may reactivate your account at any time by logging in. Active premium subscriptions continue to count down during deactivation.
14.2 Deletion
You may permanently delete your account through Settings > Account > Delete Account, or by sending an email to privacy@walima.app. Deletion is irreversible and will result in the permanent removal of your profile, photos, chat history, and personal data within 30 days, subject to legal retention requirements described in our Privacy Policy. If you have an active premium subscription, you will be guided to cancel it before deletion. No refund will be issued for unused subscription time upon voluntary deletion.
14.3 Termination by Walima
We reserve the right to suspend or permanently terminate your account at any time, with or without notice, for any reason including but not limited to:
Violation of these Terms or our Community Guidelines
Fraudulent, fake, or misleading profile information
Harassment, abuse, or threatening behavior toward other Users or our staff
Illegal or harmful activity
Multiple reports from other Users
Non-payment or payment fraud
Court order or legal requirement
In the event of termination for violation of these Terms, no refund of premium subscription fees will be issued. All admin actions related to account suspension or termination are logged in our immutable audit trail.
15. Disclaimers
THE PLATFORM AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Specifically, Walima does not warrant or guarantee:
That you will find a suitable matrimonial match or partner through the Platform
The accuracy, completeness, truthfulness, or reliability of any information provided by other Users, whether verified or not
That the Platform will be uninterrupted, error-free, secure, or free of viruses or harmful components
The accuracy, reliability, or quality of AI-generated match suggestions, compatibility scores, or automated content
The character, background, intentions, or conduct of any User
The outcome of any interactions, meetings, or communications between Users
That any specific features will always be available or function identically across all devices and platforms
Walima serves as a technology platform facilitating introductions between potential matrimonial partners. We are not a marriage bureau, marriage broker, or matrimonial intermediary as may be defined under local laws. All decisions regarding pursuing a match, meeting a person, or entering into marriage are solely yours and made at your own risk.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WALIMA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM.
Without limiting the foregoing, Walima’s total aggregate liability for any and all claims arising from or related to your use of the Platform shall not exceed the amount you paid to Walima for premium subscriptions in the 12 months preceding the claim, or BDT 10,000 (approximately USD 90), whichever is greater.
Walima shall not be liable for:
Any actions, omissions, conduct, or behavior of any User, whether online or offline
Any damage, loss, or injury resulting from meetings or interactions with other Users
Any content posted by Users on the Platform

17. Indemnification
You agree to indemnify, defend, and hold harmless Walima, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
Your use of or conduct on the Platform
Your violation of these Terms
Your violation of any rights of any third party
Any Content you submit, post, or transmit through the Platform
Any disputes between you and another User
Any false or misleading information you provide
18. Governing Law and Dispute Resolution
18.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the People’s Republic of Bangladesh, without regard to its conflict of law principles.
18.2 Dispute Resolution
Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, either party may submit the dispute to the competent courts of Dhaka, Bangladesh.
18.3 Preservation of Consumer Rights
Nothing in this clause shall limit your statutory consumer protection rights under the laws of your country of residence. Users in the EEA/UK retain the right to bring proceedings in the courts of their country of residence. California residents retain all rights under applicable California consumer protection laws.
19. Third-Party Services and Links
The Platform may contain links to or integrations with third-party websites, services, or applications, including payment gateways, social login providers, and analytics services. These third-party services are governed by their own terms of service and privacy policies. Walima is not responsible for the content, practices, or availability of any third-party services and does not endorse or assume liability for them.
Your use of payment gateways (SSLCommerz, bKash, Nagad, Stripe) is subject to the respective gateway’s terms of service. Any payment disputes with these gateways should be directed to both Walima and the respective gateway provider.
20. Force Majeure
Walima shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, epidemics, pandemics, war, civil unrest, government actions, internet or telecommunications failures, power outages, payment gateway downtime, cyberattacks, or any other force majeure event.
21. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity shall not affect the remaining provisions, which shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the original intent.
22. Entire Agreement
These Terms, together with the Privacy Policy and any supplemental terms applicable to specific features or services, constitute the entire agreement between you and Walima regarding your use of the Platform. These Terms supersede all prior agreements, communications, and understandings, whether oral or written, regarding the subject matter hereof.
23. Waiver
The failure of Walima to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision shall be effective only if in writing and signed by an authorized representative of Walima.
24. Assignment
You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent. Walima may assign its rights and obligations under these Terms to any affiliate or successor entity in connection with a merger, acquisition, or sale of assets, provided that the assignee agrees to be bound by these Terms.
25. Language
These Terms are prepared in English. If these Terms are translated into any other language (including Bangla), the English version shall prevail in the event of any conflict or inconsistency between the English version and the translated version.
